Platform terms for merchants

Last reviewed 24 September 2026. These terms are between Seeded Health Ltd ("Levy & Loom", "we") and the business that opens a merchant account ("you").

1. What Levy & Loom is

Levy & Loom is a software platform that lets you sell subscriptions to your customers using your own Stripe account. We are not a bank, a payment institution or a money transmitter. Payments are processed by Stripe under Stripe's terms, and your customers' money is paid directly to your Stripe account, not to us.

2. Your Stripe account

To use the platform you must open and keep a Stripe account through the onboarding we provide, and you agree to the Stripe Connected Account Agreement. Stripe decides whether to accept you, may ask you for information at any time, and charges you its own processing fees at its published rates. Stripe, not Levy & Loom, is responsible for losses that arise from refunds, chargebacks or negative balances that you cannot repay.

3. Our fee

We charge a platform fee of 1% of each subscription payment, collected by Stripe from the payment as it is made. The rate is shown on our website and in your account; if it ever changes we will give you at least 30 days' notice by email. Refunds and chargebacks reverse our fee in proportion.

4. Pour

We commit to directing at least 12% of our net platform revenue from your payments to the Pour fund in our first year of operation, with the rate rising in later years according to the published schedule. We publish the totals and will publish the recipients. You may download a signed Pour Ledger Proof for your own contribution at any time.

5. Your responsibilities

You are responsible for what you sell, for describing it honestly, for delivering it, for handling your customers' refunds and complaints, and for complying with the laws that apply to your business and to your customers' countries, including tax. You must keep your API key and webhook secret confidential and rotate them if you suspect they have been exposed. You must not use the platform for anything illegal or for any category of business that Stripe prohibits.

6. Availability and changes

We aim to keep the platform available at all times but do not guarantee it. We may change or improve the platform, and will not remove a feature you rely on without notice. We may suspend an account that breaks these terms, breaks Stripe's terms, or presents a risk to other merchants.

7. Liability

Nothing in these terms limits liability that cannot be limited by law. Otherwise, our total liability to you in any twelve-month period is limited to the platform fees you paid us in that period, and we are not liable for loss of profit, revenue, data or goodwill, or for any indirect loss.

8. Ending the agreement

You can close your account at any time by emailing us. We can end the agreement on 30 days' notice, or immediately if you seriously breach it. Closing your account does not affect your Stripe account or the payments already made.

9. General

These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction. If part of these terms is found unenforceable, the rest still applies. Questions: hello@levyandloom.com.
